How do I change my company name?

If you are a board member of Estonian limited company and have an Estonian e-resident card, ID-card, or mobile-ID you can change your company name online via the Estonian Business Register.

Changing the company name also means changing your company articles of association, because the business name is the first article in standard articles of association. This means that you can only change your company name online if the shareholders agree to the resolution on changing company articles of association.

Shareholders of a company with standard articles need to sign the shareholder resolution document with their Estonian e-resident card, ID-card, mobile-ID, or Smart-ID. If shareholders are unable to sign the resolution digitally you would need to submit the changes through an Estonian notary.

Here is a step-by-step guide for changing your company name through the Estonian Business Register online service.


Step 1

Log in to the e-Business Register using your Estonian e-resident card, Smart-ID, Mobile-ID or ID-card.


Step 2

Click on "My undertakings" and then choose the company you would like to access by clicking on the company name.


Step 3

Under the Main information tab click "Change the data".


Step 4

Open "Name" tab. Under the company name click "Change” button.


Step 5

Check if the name you look for is available. Matching or similar names are displayed to you below the search field.

If you have found a non-conflicting new name, you can click "Save".

When you click through the tabs and reach the "Confirmation of the application" tab, you would see this error message.


Step 6

To solve this, you would need to 1) change articles of association and 2) add a digitally signed shareholder resolution. This applies even if you own 100% of the company. Click the tab "Articles of Association" and access the articles by clicking the "Change" button on the right top.

The articles of association Chapter 1, Article 1.1 should be automatically updated with the new company name entered at the beginning of the application

After making sure the name is updated, scroll down and update the articles of association approval date with a date that matches the shareholder resolution date.

Now click the "Check the articles of association" button to see if there is any error detected.


Step 7

Now you need to upload a signed shareholder resolution. This applies even if you own 100% of the company. Open the “Documents” tab and upload a digitally signed shareholder resolution.

You may use the free template here for shareholders' resolution. Fill in all the yellow highlighted fields according to the English instructions. Do not change the document without consulting with someone qualified to assess the legal implications. Randomly changing the document normally means that the petition would be rejected by the court. Paste the text of your new articles of association to the second page of the resolution file.

When you are done sign the document digitally using your Estonian e-resident card, ID-card, or Smart-ID using Digidoc software. The document needs to be signed by all the shareholder(s) of the company or at least 2/3 of the votes cast need to be in favor of amending the articles if the company has standard articles.


Step 8

Scroll down in the Documents tab and upload the signed shareholders' resolution document. Choose the type of document to be "Resolution of the body" and click "Next" to save.


Step 9

As the articles of association is updated and the shareholders' resolution is uploaded, now it is time to sign the application.


Step 10

After all mandatory signatures are added and confirmed, you need to pay a state fee of 25 euros for changing your company details.

For paying the state fee select one of the Estonian bank links if you have a bank account in Estonia or pay by card with your Visa or Mastercard. Submission to the court can be ticked to be automatic after successful payment.

If you have no bank account in Estonia and no suitable bank card you need to use the government IBAN accounts displayed to you. To see the bank details, click on "Payment of the state fee at a bank branch or via an Internet Bank".

Please make sure that you use the correct description of payment and reference number provided by the Business Register. If you cannot use the reference field add the reference number to the description field in addition to the usual payment description. If there is not enough space for both use the reference number, as it might be the best way to match your payment with the application.

With the Wise IBAN account, some clients have had problems with the payee name "Rahanduministeerium". Replacing it with "Ministry of Finance" or "Rahandus Ministeerium" gets you past this error.

If the court cannot find the payment on the state payment system, the application would be rejected. You can then resubmit the same application with proof of your payment as an additional file.

After making the payment submit your application for processing. For this click on "The state fee has been paid".

When your submission is successful this confirmation message appears with processing deadline information. If your changes are not accepted by the deadline check if the court has issued any resolutions about deficiencies in your application.
